Introduction
This Acceptable Use Policy ("AUP" or "Policy") governs your use of all websites, platforms, applications, AI features, and services operated by Percidian AI, Inc. ("Percidian," "we," "us," or "our"), including percidian.com, percidian.ai, and all related domains and products (collectively, the "Services"). This Policy is incorporated into and forms part of our Terms of Use.
By accessing or using the Services, you agree to comply with this Policy. If you do not agree, you must not use the Services. If you are using the Services on behalf of an organization, you are responsible for ensuring that all users under your account comply with this Policy.

1. Compliance with Laws and Regulations
Your use of the Services must comply with all applicable laws and regulations, including but not limited to:
- Intellectual property laws (copyright, trademark, patent, trade secret)
- Data protection and privacy laws (including GDPR, CCPA, and applicable state privacy laws)
- Export control and economic sanctions laws (including OFAC, EAR, and ITAR)
- Anti-money laundering and anti-corruption laws (including the Foreign Corrupt Practices Act and UK Bribery Act)
- Securities laws and regulations (to the extent applicable to your use)
- Computer fraud and abuse laws
- Anti-spam and electronic communications laws (including CAN-SPAM and TCPA)
You must ensure that your use of the Services complies with all applicable laws and regulations in your jurisdiction and in the jurisdictions of any individuals whose data you process through the Services.
2. Content Restrictions
When using the Services, you agree that you will only upload, post, host, store, transmit, share, or make available through the Services content that:
- You have all rights required under law and under any applicable contracts to upload, store, and share (including rights of ownership or a sufficiently broad license)
- Is consistent with applicable law and does not violate any legal obligation
- Does not infringe the intellectual property rights of any third party (including copyrights, trademarks, patents, and trade secrets)
- Does not violate the privacy or publicity rights of any third party
- Is not unlawful and does not encourage any activity that may violate any applicable law or contract
You must not upload, store, transmit, or make available through the Services any content that:
- Is fraudulent, deceptive, or constitutes a fraudulent misrepresentation
- Is defamatory, libelous, threatening, harassing, abusive, or intimidating
- Is obscene, pornographic, or sexually explicit
- Is discriminatory or constitutes hate speech targeting any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or other protected characteristics
- Contains viruses, malware, trojan horses, worms, ransomware, spyware, or any other malicious or harmful code
- Constitutes unsolicited commercial messages, spam, mass solicitations, chain letters, or phishing attempts
- Contains classified, export-controlled, or government-restricted information unless your agreement with Percidian expressly permits it
- Gives rise to civil or criminal liability for you, other users, or Percidian
Sensitive Personal Data
You must not upload or process sensitive personal data (such as data revealing racial or ethnic origin, political opinions, religious beliefs, trade union membership, genetic data, biometric data, health data, sexual orientation, or criminal history) through the Services unless you have explicit consent from the individuals concerned or another clear lawful basis, and you have taken appropriate measures to protect such data.
3. Conduct Restrictions
You agree that you will not:
Security and Infrastructure
- Access, use, alter, or interfere with any areas of the Services that you are not authorized to access
- Check or test the vulnerability of any Percidian systems or networks, or breach or circumvent any security or authentication mechanism, without Percidian's prior written authorization
- Attempt to destabilize, interrupt, or overload our infrastructure by placing unreasonable burdens on our resources, including by sending requests to our systems more rapidly than could be achieved by a human user (rate abuse)
- Transmit any viruses, malware, trojan horses, worms, or other types of malicious or harmful software or code, or links to such software, onto or through the Services
- Tamper with the normal operation of the Services, or access them using a method or interface other than those we provide
Reverse Engineering and Misappropriation
- Disassemble, decompile, reverse-engineer, or modify any component of the Services, including any software, AI models, algorithms, or proprietary technology
- Use any automated means (including robots, spiders, scrapers, or data-mining tools) to collect information from the Services, except as expressly permitted by Percidian in writing
- Attempt to derive source code, algorithms, training data, or proprietary methods from the Services or any AI features
- Copy, reproduce, or extract any databases, data compilations, or data sets from the Services
Commercial Misuse
- Sell, lease, sublicense, or commercially exploit any part of the Services or content hosted on the Services without Percidian's prior written consent
- Use the Services for competitive analysis, benchmarking, or to develop a competing product or service without Percidian's prior written consent
- Use the Services if you are a direct competitor of Percidian, unless you have received prior written authorization
- Resell, redistribute, or white-label the Services or any outputs generated by the Services
Identity and Impersonation
- Impersonate another person or organization, including any Percidian employee or representative, or misrepresent your identity or affiliation
- Use another person's login credentials for the Services without their explicit permission and Percidian's authorization
- Create accounts under false identities or register multiple accounts to circumvent usage limits or restrictions
Privacy and Data Protection
- Breach another person's privacy, including by uploading or sharing their personal information without their consent or another lawful basis
- Harvest, scrape, or collect personal data about other users of the Services without their consent
- Use the Services to conduct surveillance, tracking, or monitoring of individuals without appropriate legal authority and consent
AI Feature Misuse
- Use AI features of the Services to generate content that is misleading, fraudulent, defamatory, or harmful
- Attempt to manipulate, poison, or corrupt AI models or outputs through adversarial inputs or prompt injection
- Represent AI-generated outputs as human-authored professional advice (legal, financial, medical, or otherwise)
- Use AI features to systematically extract or reconstruct training data, proprietary datasets, or confidential information belonging to Percidian or other users
- Use AI-generated outputs from the Services to train competing AI models or systems without Percidian's prior written consent
Communications Misuse
- Use the communication or collaboration features of the Services to send unsolicited messages, spam, or mass solicitations
- Use the Services to harass, threaten, or abuse other users or third parties through communications
- Record, capture, or distribute communications facilitated through the Services in violation of applicable recording-consent or wiretapping laws
4. Web Scraping
You must not conduct or attempt to conduct web scraping of any part of our websites or the Services, including any content contained within or hosted on the Services, unless you have received prior written authorization from Percidian.
5. Intellectual Property
You agree to respect the intellectual property rights of Percidian and all third parties:
- Do not remove, alter, or obscure any copyright, trademark, or other proprietary notices contained in or displayed on the Services
- Do not reproduce, communicate, adapt, record, transfer, publish, perform, display, broadcast, distribute, or make available any content from the Services in contravention of any applicable law or in breach of any person's intellectual property rights
- Report any suspected intellectual property infringement to Contact us
6. Responsible Use of Shared Environments
If you use the Services in shared environments such as collaboration spaces or shared projects:
- Respect the access controls and permissions established by project administrators
- Do not access documents, data, or areas that are not intended for you, even if a technical error makes them temporarily accessible
- Do not download, copy, or redistribute content beyond what is authorized by the data owner or project administrator
- Comply with any additional usage restrictions communicated by the data owner or project administrator
- Report any unauthorized access or data exposure to Percidian immediately
7. Export Controls and Sanctions
You represent and warrant that:
- You are not located in, under the control of, or a national or resident of any country subject to U.S. comprehensive embargo or sanctions
- You are not listed on any U.S. government restricted-parties list, including the Specially Designated Nationals (SDN) list maintained by OFAC
- You will not use the Services to transfer, store, or process data in violation of any applicable export-control or sanctions laws
- You will not invite, permission, or allow any person to access the Services where such access is prohibited or restricted under applicable sanctions
8. Reporting Violations
If you become aware of any violation of this Policy, or any misuse of the Services, please report it promptly to Contact us. Reports may be submitted anonymously. Percidian takes all reports seriously and will investigate in a timely manner.
9. Enforcement and Violations
If you fail to comply with this Policy, Percidian reserves the right, at its sole discretion and without liability (to the extent permitted by law), to:
- Immediately suspend or terminate your account and access to the Services
- Remove any content you have uploaded, posted, or transmitted that we consider or suspect to be in breach of this Policy
- Restrict your access to specific features or functionality
- Report violations to appropriate law enforcement or regulatory authorities
- Pursue any other remedies available under law or contract
Percidian may take these actions without prior notice where we reasonably believe that immediate action is necessary to protect the security, integrity, or availability of the Services or to protect other users.
Our rights to suspend accounts and remove content do not limit any other rights or remedies that may be available to us, including under the Terms of Use, any product-specific agreement, or applicable law.
10. Changes to This Policy
We may update this Acceptable Use Policy from time to time to reflect changes in our Services, legal requirements, or best practices. When we make changes:
- We will update the "Last Updated" date at the top of this Policy
- We will post the updated Policy on our websites
- For material changes, we will take reasonable steps to notify you prior to the change taking effect (such as by email or in-app notification)
Your continued use of the Services after changes take effect constitutes acceptance of the updated Policy. If you do not agree with any change, you must stop using the Services.
